Nova Ljubljanska banka targets Deželna banka Slovenije takeover after Addiko Bank failure.
Following a failed takeover bid for Addiko Bank, Nova Ljubljanska banka has turned its focus to acquiring Deželna banka Slovenije. Nova Ljubljanska banka announced it signed a purchase agreement with Skupina Prva and related persons for 25,66 percent of Deželna banka Slovenije shares. An additional purchase agreement was concluded with KD Group for another 29,38 percent of shares. These agreements give Nova Ljubljanska banka signed contracts to acquire more than 55 percent of the voting rights in the company. Deželna banka Slovenije remains one of the few banks that has stayed in Slovenian ownership. This proposed amount represents around 36 euros per share, excluding treasury shares, which is 35 percent above the book value of 26,61 euros at the end of June. Other major shareholders in Deželna banka Slovenije include Kapitalska zadruga with a 21 percent stake, ČZD Kmečki glas with 4,70 percent, and Zadružna zveza Slovenije with approximately four percent. The completion of the transaction is scheduled after market regulator approvals are obtained, likely in the second half of next year. Nova Ljubljanska banka stated it does not expect any obstacles in obtaining these regulatory approvals.
